1. About these terms
These Terms & Conditions apply to the ARS Tech Solutions website and provide general terms for services supplied by ARS Tech Solutions.
A specific project may also be governed by a quote, proposal, statement of work or other written agreement. Where project-specific terms differ from these general terms, the project-specific agreement will apply to that project.
2. Our services
ARS Tech Solutions may provide services including:
- Website design and UX/UI
- Website development
- Website redesigns
- Custom web applications
- SEO and website performance improvements
- Website care and improvements
- E-commerce website services
- Hosting, domain and deployment assistance
- IT and technology support
The exact services included in a project will be described in the relevant quote, proposal or agreement.
3. Quotes and project scope
Quotes and proposals are based on the information available when they are prepared.
Before work begins, the project scope may identify deliverables, features, responsibilities, estimated timelines, pricing and payment requirements.
Work that falls outside the agreed scope may require an updated quote, additional charge or separate agreement before that work begins.
4. Changes and additional work
We understand that project requirements can change. If you request significant changes after the scope has been agreed, we will discuss the impact before proceeding.
Additional work may affect the project price, delivery timeframe or both.
5. Client responsibilities
To help a project progress efficiently, you may be required to provide information, content, feedback, account access, approvals or other materials.
You are responsible for ensuring that information and materials supplied to ARS Tech Solutions are accurate and that you have permission to use any text, images, trademarks, logos or other content you provide.
Delays in receiving required information, content or approval may affect the project timeline.
6. Pricing and payment
Project pricing and payment requirements will normally be provided in the relevant quote, proposal or agreement.
A project may require a deposit or staged payments before particular stages of work begin.
Any applicable deposit amount, payment schedule and payment due dates will be communicated before the relevant work begins.
Additional work requested outside the agreed scope may be quoted separately.
7. Third-party costs
Some projects may require third-party products or services such as:
- Domain registration
- Website hosting
- Email hosting
- Plugins or software licences
- Cloud services
- Payment providers
- External APIs
- Other subscription services
Unless specifically included in our quote, third-party fees are separate from ARS Tech Solutions service fees.
8. Project timelines
Any project timeframe we provide is based on the agreed scope and information available at the time.
Timelines may change where requirements change, approvals are delayed, required materials are not supplied on time, or circumstances outside our reasonable control affect the project.
If a material delay occurs, we will aim to communicate the effect on the project schedule.
9. Website content
Unless content creation is specifically included in the agreed scope, clients are responsible for providing the final business information, written content, images and other materials required for their project.
ARS Tech Solutions may assist with organising, formatting or improving supplied content where this forms part of the project.
10. Intellectual property
Ownership and licensing arrangements for custom project work may be specified in the relevant project agreement.
Unless otherwise agreed, ownership of final client-specific deliverables will generally transfer after all amounts relating to those deliverables have been paid in full.
ARS Tech Solutions retains ownership of pre-existing tools, reusable code, development methods, templates, libraries, know-how and other materials that existed independently of the client project.
Third-party software, fonts, libraries, plugins and other licensed material remain subject to their own licence terms.
11. Portfolio use
ARS Tech Solutions may ask for permission to display completed project work in our portfolio, website, proposals or marketing materials.
Confidential information will not knowingly be published as portfolio material without appropriate permission.
12. SEO and business results
Where SEO, website optimisation or digital improvement services are provided, we aim to implement appropriate technical and content improvements within the agreed scope.
Search rankings, visitor numbers, enquiries, sales and other business results depend on many factors outside our control. We therefore cannot guarantee a particular search ranking, level of traffic, number of enquiries or commercial result.
13. Hosting and third-party services
Websites and applications may depend on services operated by third parties.
Their availability, pricing, policies and functionality may change independently of ARS Tech Solutions.
Where reasonably possible, we will assist with issues involving services that we configured as part of a project, but we do not control third-party platforms or infrastructure.
14. Cancellation or project suspension
If either party needs to cancel or suspend a project, the parties should communicate this as soon as reasonably possible.
The client may remain responsible for work already completed and third-party costs that have already been reasonably committed for the project.
Any project-specific cancellation terms contained in the relevant proposal or agreement will also apply.
15. Problems with our services
If you believe there is a problem with work provided by ARS Tech Solutions, please contact us as soon as reasonably possible so we can review the issue and discuss an appropriate resolution.
Nothing in these terms is intended to remove or limit rights or remedies that cannot legally be excluded under New Zealand law.
16. Liability
Each project can involve different technologies, suppliers and requirements. Any project-specific allocation or limitation of liability may therefore be addressed in the relevant written project agreement.
Nothing in these Terms & Conditions excludes liability or legal rights where doing so would not be permitted under applicable New Zealand law.
17. External links
The ARS Tech Solutions website may link to external websites, platforms or services.
These external services are operated independently and may have their own terms, privacy policies and practices.
18. Website availability
We aim to keep the ARS Tech Solutions website available and accurate, but we do not guarantee that the website will always be uninterrupted, error-free or continuously available.
Website information may be updated, corrected or changed when required.
19. Changes to these terms
These Terms & Conditions may be updated as our services, business practices or legal requirements change.
The latest version will be published on this page together with the date it was most recently updated.
Changes to these website terms will not automatically replace separately agreed project terms unless the parties agree otherwise.
20. New Zealand law
These Terms & Conditions are governed by the laws of New Zealand.
Applicable consumer and fair-trading protections continue to apply where required by law.
